Robert E. Michael
Bob Michael provides corporate finance, legal advisory services to HSA Consulting clients, focusing on corporate re structuring/reorganization, workout and acquisition related legal services. Bob has over 35 years experience in a variety of international legal and corporate finance positions.
Most recently, Bob provide legal and financial structuring services for HSA Consulting LLC joint venture with Organización Soriana (Mexico’s second largest retail group) to acquire Controladora Comercial Mexicana’s 50% stake in Costco de Mexico. Since 1997, he has provided legal and financial support for all HSA Consulting’s warehouse club consulting assignments.
Bob is a former partner with Morrison & Foerster, LLP, establishing their east coast workout and bankruptcy practice. His retail assignments include representation for 25 Asian textile manufacturer creditors in the Caldor, Bradlees Stores and Bugle Boy Chapter 11 proceedings, and a significant group of Macy’s creditors. Bob was also founding Partner with Windels, Marx, Davies & Ives, developing their New York bankruptcy and workout practice. Bob spent 6 years at the start of his legal career with Shearman & Sterling, New York as a bankruptcy Associate.
Bob’s also has substantial international corporate finance and restructuring experience, initially as Director of Corporate Restructuring for Paribas Corporation, New York. Retail assignments include Carvel Corp & Liquor Barn workouts. Previously, he was VP, Head of Special Loans Group at Manufacturers Hanover Leasing Corp and Senior Counsel of Manufacturers Hanover Trust Company. He was responsible for a $500 million portfolio of non-performing and impaired loans/leases.
Bob is currently a member of the State Department’s Private International Law Advisory Group. He is also current Chairman of the New York Bar Association Committee on Foreign & Comparative Law, and Chairman of the Islamic Law Committee of the American Branch of the International Law Association. He is also leads an initiative to study & expand the understanding of Islamic Law and Finance & heads the City Bar’s delegation to the Working Group of the United Nations Commission on International Trade Law (UNCITRAL) developing an International Legislative Guide for Secured Lending. In addition, his most recent work has involved cross-border corporate financing in China and Russia (including letters of credit and acceptances).
Bob received his B.A. in International Relations and Russian Studies from Brown University, Rhode Island and J.D. from New York University School of Law He was recently appointed Adjunct Professor at Pace University Law School teaching post graduate courses in Corporate Finance. He speaks and is published extensively on Islamic finance and capital markets and is a recognized authority on the evolving subject. He was a recent guest lecturer on the subject at Rutgers, Pace and Seton Hall University Law schools and the US Military Academy at West Point. back» |
